Partner Terms – PresenceLift Website Partner Program

Version 2026-10-19.1 · This English text is a convenience translation; the German version is binding.

Company-issued terms. Professional legal review is still pending; changes resulting from it will be announced under section 15.

1. Parties and scope

These terms apply between PresenceLift, Inhaber Onyebuchukwu Philip, Kirchgrund 9, 74199 Untergruppenbach, Deutschland ("PresenceLift") and the person or company registering as a website partner ("Partner"). They apply only to the Website Partner Program. Earlier terms for other PresenceLift products (e.g. Google Business Profile agents) do not apply to this program.

2. Independent contractor

The Partner acts as an independent business in their own name and for their own account. The Partner is not an employee, commercial agent or representative of PresenceLift, may not make statements on behalf of PresenceLift and is not subject to instructions about working time or place. The Partner bears their own costs.

3. Participation and approval

Registration and participation are free. After registering and confirming their email address the Partner applies, and PresenceLift reviews the application. There is no entitlement to approval. Commission can only be earned while the Partner is approved and not suspended.

4. Product and price

The product is the PresenceLift website for businesses based in Germany (B2B) at a final price of €500 (one-time). An optional domain renewal costs €199 per year and is charged only with the customer's explicit consent. The Partner may only state the prices and services published on presencelift.com.

5. Attribution

A sale is attributed to the Partner when the customer's website session started with the Partner's code: through the partner link (/r/<code>, 90-day cookie), a ?ref= link, or the customer taking over a preview created by the signed-in Partner.

The first attribution of a session is decisive and is not changed later. At most one commission arises per paid order. In a dispute about attribution, PresenceLift decides on the basis of the stored system records.

6. Qualifying sale

A sale qualifies only if (a) the customer is a business based in Germany, (b) the customer paid the full price themselves through the payment provider (Stripe) and the provider confirmed the payment, (c) the Partner was approved at the time of payment and (d) no exclusion applies.

Excluded are in particular: purchases by the Partner or persons close to them, purchases the Partner pays for on the customer's behalf, test orders and orders of €0, orders obtained through a breach of section 10, and orders that were fully refunded or reversed by a lost chargeback.

7. Commission

The commission is €100 one-time per qualifying sale. There are no recurring commissions, no commissions for recruiting other partners and no multi-level commissions. The VAT treatment (in particular self-billing credit note or invoice and any VAT shown) is set before the first payout based on the Partner's details.

8. Hold period and payout

Each commission is held for 30 days after the confirmed payment and then re-checked against the payment provider's records. Released commissions are paid out manually by bank transfer, normally monthly.

Payout requires complete and accurate Partner details: full name or company, address, bank account (IBAN) and tax details (tax number or VAT ID, and whether the small-business exemption applies). Without these details the payout is deferred until they are provided.

9. Refunds, chargebacks, clawback

A full refund cancels the commission. A partial refund reduces it proportionally. During an open chargeback it is held; if the chargeback is lost, it is cancelled.

If a commission was already paid, PresenceLift reclaims the affected amount or offsets it against future commissions.

10. Partner duties and prohibited sales practices

The Partner complies with applicable law when approaching customers, in particular § 7 UWG (German Unfair Competition Act) and the GDPR. Prohibited in particular: advertising emails, messenger messages, SMS or faxes without the recipient's prior explicit consent; advertising calls without a lawful basis; bulk sending and purchased address lists; posing as an employee of PresenceLift, Google or an authority; false statements about price, VAT, service, term, reviews, ranking or results; pressure or deceptive tactics; paying on the customer's behalf; giving consent or entering payment details for the customer; using the customer's photos, logos or texts without permission.

The Partner respects objections immediately and reports them to PresenceLift so the business is not contacted again. The Partner uses the PresenceLift brand only in the form provided by PresenceLift and does not run ads on the brand name.

11. Data protection

PresenceLift processes the Partner's data (name, email, phone, application, partner code, attribution, commission and payout data) to perform this contract (Art. 6(1)(b) GDPR) and to meet statutory retention duties (Art. 6(1)(c) GDPR). Details are in the privacy policy.

When the Partner enters a customer's details into a preview, they may only use publicly available business information or information the customer gave them for this purpose. The Partner does not receive the customer's contact or payment details from PresenceLift. Personal data the Partner receives through the program may be used only for the program.

12. Term and termination

The agreement runs for an indefinite period and either side may terminate it at any time in text form (e.g. email) with effect for the future. The right to terminate and suspend without notice for good cause, in particular for breaches of section 10, is unaffected.

Commissions for sales attributed and paid before the end of the agreement are paid after the hold period unless an exclusion applies. On termination for a serious breach, commissions for sales obtained through that breach are not paid.

13. Liability

The Partner indemnifies PresenceLift against third-party claims arising from the Partner's culpable breach of section 10 or 11, including reasonable legal defence costs. Otherwise both sides are liable under statutory law.

14. Governing law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the Partner is a merchant, the place of jurisdiction is Heilbronn, to the extent permitted by law.

15. Changes

PresenceLift may change these terms with effect for the future. Changes are announced by email at least 30 days in advance. If the Partner does not object and continues to use the program after the change takes effect, the new terms apply; the announcement points out this consequence. Sales already attributed are governed by the terms valid at the time of payment.
